            <h4>1. Your Relationship with ShowEasy</h4>
            <li>
              These Terms of Use govern your use of the “ShowEasy”
              (www.showeasy.com), and any other online or offline services
              provided by us, as well as to govern your consumer activities in
              exhibition-related products & services through ShowEasy
              (collectively referred to as the“ShowEasy Service”).
            </li>
          </ul>
          <ul>
            <h4>2. The Change of Terms & Conditions</h4>
            <li>
              2.1 These Terms of Use will constitute a valid contract between
              you and ShowEasy. While using any of the ShowEasy Services, you
              consent to be bound by any and all additional terms and
              conditions, as may be updated from time to time, applicable to
              such services, including but not limited to ShowEasy’s “Privacy
              Policy”, as well as the terms of use for various promotions,
              rewards, or discount events. All such terms shall have the same
              effects as the Terms of Use.
            </li>
            <li>
              2.2 In the event that relevant laws require or ShowEasy deems
              necessary, ShowEasy may amend or update these Terms of Use at any
              time without prior notice to you. If there is any change in these
              Terms of Use, we will post the latest version of these Terms of
              Use on our website (www.showeasy.com) and other platforms
              established by ShowEasy (including but not limited to mobile
              applications) (collectively with our website, the “ShowEasy
              Platform”), and we will indicate the date on which these Terms of
              Use were last updated. Your continued use of the ShowEasy Services
              after an update to these Terms of Use constitutes your acceptance
              of the updated version. Please check the latest version of these
              Terms of Use when you use the ShowEasy Services at any time.
            </li>
          </ul>

            <h4>3. The ShowEasy Services</h4>
            <li>
              3.1 The ShowEasy Services provide you with an easy and simple way
              to select and purchase exhibit transportation services, booth
              design, tickets and other exhibition-related products & services
              supplied by ShowEasy or our third-party suppliers (“Suppliers”)
              through the ShowEasy Platform. To the fullest extent permitted by
              law, you also agree that we may change, suspend, discontinue or
              terminate any services at any time and may impose regulations or
              restrictions on, or amend the terms of certain services, or limit
              your access to any part or all of the services, without prior
              notice to you.
            </li>
            <li>
              3.2 You may incur fees and expenses which shall be paid to
              ShowEasy or the Suppliers by you through your use of the ShowEasy
              Services. In addition, you may be subject to the terms and
              conditions imposed by the Suppliers. You acknowledge and agree
              that you are solely responsible for all such fees and expenses,
              and you agree to pay all such fees and expense and abide by all
              such terms and conditions imposed by the Suppliers.
            </li>
            <li>
              3.3 We will make effort to maintain the operation of the ShowEasy
              Services and the ShowEasy Platform, but we do not warrant that the
              ShowEasy Services and the ShowEasy Platform will always do
              properly or stay uninterrupted by external factors. You agree that
              we reserve the right to reject your visit to the ShowEasy Platform
              or your use of the ShowEasy Services, and you also agree that we
              reserve the right to change, suspend, discontinue or terminate the
              ShowEasy Services or the ShowEasy Platform.
            </li>
          </ul>

            <h4>4. The Platform Content</h4>
            <li>
              4.1 The term “Platform Content” used in these Terms of Use refers
              to all the materials presented or used on the ShowEasy Platform by
              us, including but not limited to text, photographs, graphics,
              images, illustrations, video, audio, data, code and other
              materials. You acknowledge and agree that all of the Platform
              Content is the proprietary property of ShowEasy or the licensors
              who license ShowEasy to use such materials, which are protected by
              the relevant intellectual property laws. ShowEasy may change,
              modify or remove any Platform Content without prior notice to you.
            </li>
            <li>
              4.2 Subject to your compliance with these Terms of Use, we hereby
              agree to grant you a limited, non-exclusive, non-transferable
              license to use or access the ShowEasy Platform, and we may revoke
              this license at any time without prior notice to you. You agree to
              comply with relevant intellectual property laws and other
              applicable laws and regulations. You promise that in no event you
              will use, reproduce, translate, transmit, broadcast, sell, assign
              and create derivative works based on or in any other way
              exploiting the Platform Content in a way that harms ShowEasy or
              the licensors who license ShowEasy to use such materials. You also
              undertake not to massively copy, save or download any Platform
              Content in any form. In addition, you agree that you will bear all
              risks arising out of your use or access to any Platform Content.
              To the fullest extent permitted by law, we are not liable in any
              way for any Platform Content, including but not limited to any
              errors or omissions in the Platform Content. You shall be solely
              liable for any losses or damages suffered by any person as a
              result of your use or access to the Platform Content.
            </li>
            <li>
              4.3 You acknowledge and agree that, in the course of your use or
              access to the Platform Content, we may not be able to know which
              other third-party users you interact with or predict or control
              their behavior. Therefore, we cannot guarantee the authenticity
              and accuracy of any contents, materials or information provided by
              other third-party users through the ShowEasy Platform.
            </li>
          </ul>
          <ul>
            <h4>5. Member Registration and Login with Social Media</h4>
            <li>
              5.1 In order for you to use the ShowEasy Services, you must sign
              up for a member account on the ShowEasy Platform, or via a social
              media account (e.g., Facebook or Google), to log in and become our
              member (“ShowEasy Member Account”). When registering a ShowEasy
              Member Account, we may ask you to provide your e-mail and set a
              password, and after the registration, we may ask you to fill out
              membership information. You must confirm that all the information
              you submit to ShowEasy's Platform is true, accurate and complete,
              and you will update it from time to time to maintain the latest
              information. If you provide false information, we reserve the
              right to remove your ShowEasy Member Account without prior notice
              to you. You may not use the ShowEasy Services with any other
              person’s ShowEasy Member Account or social media account.
            </li>
            <li>
              5.2 Your ShowEasy Member Account is personal to you and you shall
              not share your account information with or allow access to your
              account by any third party. You will be responsible for all
              activities generated under your ShowEasy Member Account, and if
              you find any security concern with your ShowEasy Member Account,
              please notify us immediately. You are responsible for maintaining
              the confidentiality of your password and if you have any reason to
              believe that your ShowEasy Member Account has been compromised or
              your ShowEasy Member Account has been accessed by a third party,
              please notify us immediately. You will be solely responsible for
              the losses or damages suffered by ShowEasy and any other persons
              due to any illegal use of your account.
            </li>
            <li>
              5.3 You agree that we reserve the right to reject your
              registration as a ShowEasy member. You also agree that we may, at
              our sole discretion, remove your ShowEasy Member Account at any
              time without prior notice to you.
            </li>
          </ul>
          <ul>
            <h4>6. Terms of use for ShowEasy Customer Reviews and Comments</h4>
            <li>
              6.1 The Terms of Use for ShowEasy Customer Reviews and Comments
              (“Terms of Use”) regulate the user behavior related to customer
              evaluation and review services ("CRR Services") provided by
              ShowEasy. In the event of a conflict between ShowEasy's privacy
              policy and the Terms of Use, the Terms of Use shall prevail.
            </li>

                a. By submitting any information or contents (“Contents”) to
                ShowEasy, you represent and warrant that:<br />
                • You are the sole producer and owner of the intellectual
                property rights to the Contents;<br />
                • You have voluntarily waived all "moral rights" you may have in
                the Contents;<br />
                • The Contents shall be legal and accurate;<br />
                • You certify that you are of the legal age of majority in the
                jurisdiction in which you reside or, if you are between the ages
                of 13 and the legal age of majority, that you are using the CRR
                Services with the supervision of your parent of legal guardian
                who agrees to be bound by these terms of service.<br />
                • Your use of the Contents complies with the Terms of Use and
                shall not cause any harm or damages to any individual or
                entity.<br />
              </li>
              <li>
                b. You further agree and warrant that you should not submit any
                Contents which:<br />
                • Is false, inaccurate or misleading;<br />
                • Infringes any copyright, patent, trademark, trade secret or
                other proprietary right, right of publication or confidentiality
                of any third party;<br />
                • Violates any laws, decrees, instructions or regulations
                (including but not limited to jurisdiction over export controls,
                consumer protection, unfair competition, crackdown on
                discrimination or false advertising, etc.);<br />
                • Might cause and defamation, slander, hatred, racial or
                religious discrimination, offensive speech, unlawful threat or
                unlawful harassment against any individual, partnership or
                company;<br />
                • Relates to any third-party compensation or any other
                compensation;<br />
                • Contains any information referring to other websites,
                addresses, email addresses, contact information or phone
                numbers;<br />
                • Contains any computer virus or other potentially harmful
                computer program or file.
              </li>
            </div>
            <li>
              6.2 You agree to indemnify and to hold harmless ShowEasy (and its
              officials, directors, agents, subsidiaries, joint ventures,
              employees, and third-party service providers) from and against any
              and all claims, damages, losses, liabilities and expenses,
              including reasonable attorneys' fees arising out of, involving or
              in connection with any breach of the Terms of Use or any laws by
              you.
            </li>
            <li>
              6.3 You grant ShowEasy a permanent, irrevocable, royalty-free,
              transferable right and license to use the Contents worldwide which
              shall include but not limit to copy, modify, completely delete,
              adapt, publish, translate, create derivative works from, sell,
              distribute and / or incorporate the Contents into any form, media,
              or technology.
            </li>
            <li>
              6.4 The Contents may be used by ShowEasy at ShowEasy's sole
              discretion. ShowEasy reserves the right to change, reduce or
              remove the Contents if ShowEasy determines in its sole discretion
              that any of the Contents on ShowEasy's website violates the
              content guidelines or any other provision of these Terms of Use.
              In addition, you might not be able to edit or remove the Contents
              through ShowEasy. The Contents are usually posted within two to
              four business days after you submit. However, ShowEasy reserves
              the right to remove or refuse to post the Contents for any reason.
            </li>
            <li>
              6.5 You are duly and solely responsible for the Contents.
              ShowEasy, its agents, subsidiaries, affiliates, partnerships, or
              third-party service providers, and their respective directors,
              officers and employees have no obligation to keep the Contents
              confidential.
            </li>
            <li>
              6.6 By submitting your email address with your Contents, you agree
              that ShowEasy and its third-party service providers are entitled
              to use your email address to communicate with you regarding the
              status of your Contents or for any other administrative purposes.
            </li>
          </ul>
          <ul>
            <h4>7. Your Undertakings</h4>
            <li>
              7.1 You shall use the ShowEasy Services and the ShowEasy Platform
              fully and only in accordance with these Terms of Use. You shall be
              solely responsible for all your behaviors while using the ShowEasy
              Services and the ShowEasy Platform.
            </li>
            <li>
              7.2 You shall promise the following:

            <li>
              a. The specific service selected and purchased by you is for
              your personal or affiliated company's and organizational use
              only, and shall not be used for any other commercial purposes.
            </li>
            <li>
              b. You agree not to copy, reproduce, distribute, publish,
              display, perform, transmit or broadcast any part of the
              ShowEasy Services without our prior written authorization,
              including, by way of example and not limitation, by doing or
              engaging in any of the following without our prior express
              written consent: (i) altering, defacing, mutilating or
              otherwise bypassing any approved software through which the
              ShowEasy Services are made available; and (ii) using any
              trademarks, service marks, design marks, photographs or other
              content belonging to ShowEasy or obtained from the ShowEasy
              Services.
            </li>
            <li>
              c. You agree not to bypass, damage or otherwise interfere with
              any security or other features of the ShowEasy Services
              designed to control the manner in which the ShowEasy Services
              are used, harvest or mine the service content from the
              ShowEasy Services, or otherwise access or use the ShowEasy
              Services in a manner inconsistent with individual or
              affiliated company's and organizational usage (including
              placing abnormal or excessive pre-orders, or cancelling a
              certain service order after placing it).
            </li>
            <li>
              d. You agree not to undertake, cause, permit or authorize the
              translation, reverse engineering, disassembling or hacking of
              any aspect of the ShowEasy Services, including any service
              content available on or through the ShowEasy Services, or
              attempt to do any of the foregoing, or otherwise attempt to
              use or access any portion of our service other than as
              intended by ShowEasy, except and solely to the extent
              permitted by these Terms of Use or other regulations.
            </li>
            <li>
              e. You agree not to use, display, mirror, frame or utilize
              framing techniques to disclose the ShowEasy Services,
              including any service content available on or through the
              ShowEasy Services, or any portion thereof, through any other
              application or website, unless and solely to the extent we
              make available the means for embedding any part of the
              ShowEasy Services or service content.
            </li>
            <li>
              f. You agree not to access, tamper with, or use non-public
              areas of the ShowEasy Services, ShowEasy's (and our hosting
              company's) computer systems and infrastructure, or the
              technical delivery systems of ShowEasy's providers.
            </li>
            <li>
              g. You agree not to harass, abuse, harm or advocate or incite
              harassment of another person or group, including ShowEasy's
              employees and other users.
            </li>
            <li>
              h. You agree not to provide any false personal information,
              create a false identify, or impersonate another person or
              entity in any way. Also, you agree not to use any unauthorized
              ATM card, credit card, or other e-Payment tools to place any
              order.
            </li>
            <li>
              i. You agree not to solicit, or attempt to solicit, personal
              information from other users.
            </li>
            <li>
              j. You agree not to restrict, discourage or inhibit any person
              from using the ShowEasy Services, disclose personal
              information about a third person on the ShowEasy Services or
              obtained from the ShowEasy Services without the consent of
              such person, or collect information about our users.
            </li>
            <li>
              k. You agree not to use the ShowEasy Services to communicate
              or facilitate any commercial advertisement or solicitation,
              except as expressly permitted in these Terms of Use.
            </li>
            <li>
              l. You agree not to engage in any fraud, breach of the
              information security of the ShowEasy Platform, damage to the
              interests of ShowEasy, abuse of ShowEasy's promotion or
              discount, crack the passwords of other users, transfer or
              illegally save the data or engage in any other illegal
              activities.
            </li>
        </div>
        </li>
        <li>
          7.3 If you violated any matter set out above, we may, based on our
          discretion, remove your ShowEasy Member Account and cancel the
          order that violates any matter set out above at any time, without
          giving you any prior notice, and we may request your compensation.
        </li>
        </ul>
        <ul>
          <h4>8. Order Confirmation and Refund Policy</h4>
          <li>
            8.1 You can select and purchase exhibit transportation services,
            booth design, tickets and other exhibition-related products &
            services provided by ShowEasy or the Supplier in a specified
            currency through the ShowEasy Platform. Except for certain orders
            which will be confirmed immediately after you place your order,
            other orders must be confirmed by ShowEasy or the Supplier
            afterwards. You agree to receive notification of successful
            bookings/orders via SMS, email or mobile applications, and you
            acknowledge and agree that the time it takes to reply to the
            result of your bookings/orders as indicated on the ShowEasy
            Platform is for reference only. You also agree that the time it
            takes to confirm the success of your bookings/orders may be
            adjusted based on the actual situation.
          </li>
          <li>
            8.2 ShowEasy reserves the right to change or adjust the prices and
            fees of exhibit transportation services, booth design, tickets and
            other exhibition-related products & services provided by ShowEasy
            or the Supplier at any time. These changes may be announced via
            SMS, email, the website and mobile applications. If you use the
            ShowEasy Services after the notice of such changes, it means you
            agree and accept the changed prices and fees.
          </li>
          <li>
            8.3 You agree that ShowEasy may, at our sole discretion, refuse or
            cancel any booking or order that may violate these Terms of Use.
          </li>
          <li>
            8.4 You agree that you will pay your bookings/orders in accordance
            with the payment methods we accept; you acknowledge and agree that
            we are not obligated to process or execute your bookings/orders
            until you complete the payment in accordance with the payment
            process instructed by us. Unless otherwise provided in these Terms
            of Use, the payment for orders/bookings made by you is
            non-refundable.
          </li>
          <li>
            8.5 In the case that the service you selected and purchased is
            provided by a Supplier instead of ShowEasy, such Supplier will
            accept or reject your booking/order on its own and be responsible
            for providing all related services. If you have any questions
            about the content of the service provided by the Supplier, you may
            first ask the Supplier to obtain the most direct information;
            alternatively, you can also contact ShowEasy, and we will try to
            contact the Supplier to find a solution.
          </li>
          <li>
            8.6 You acknowledge and agree that the specific service provided
            by any Supplier may result in additional taxes or fees and
            expenses depending on the actual situation, and you may also be
            obligated to pay the relevant amount directly to the Supplier or
            the tax authority. Although we have requested the Supplier to
            provide the latest and accurate conditions of use, restrictions,
            prices and other information with respect to the services they
            provided, ShowEasy cannot warrant that all content displayed on
            the ShowEasy Platform will be accurate at all times. If your
            order/booking is cancelled by the Supplier, ShowEasy will notify
            you as soon as possible in a reasonable manner.
          </li>
          <li>
            8.7 If you contact us or the Supplier to cancel your order/booking
            within the cancellation period indicated on the ShowEasy Platform
            at the time of your order/booking, after you have successfully
            cancelled and received our notice, or if the service you selected
            and purchased is cancelled according to the conditions and
            restrictions set by ShowEasy or the Supplier, the payment you made
            will be refunded to you in the same way as you paid. You fully
            acknowledge and agree that the amount refunded may differ from the
            amount you originally pay due to the foreign exchange rate, or the
            administration fees or service fees collected by the credit card
            company or the payment processor.
          </li>
          <li>
            8.8 Use of E-Voucher
            <div class="tw-ml-[14px]">
          <li>
            a. If you select and purchase exhibit transportation services,
            booth design, tickets and other exhibition-related products &
            services through the ShowEasy Platform, after the
            order/booking is successful, except for providing physical
            vouchers or under other circumstances, you will receive a SMS,
            email or mobile application notification confirming your
            order/booking, which will include the number of your
            order/booking and an electronic voucher (“E-Voucher”) in
            accordance with the service you have purchased. In order to
            use your E-Voucher, you must print out your E-Voucher or
            present the E-Voucher on your mobile application.
          </li>
          <li>
            b. You acknowledge and agree that you must comply with the
            additional conditions and restrictions of E-Vouchers set by
            ShowEasy and the Supplier, including but not limited to: you
            must show up in person and on time at the meeting point
            designated by ShowEasy or the Supplier within the period of
            use specified on the E-Voucher, and present documents or
            materials requested by ShowEasy or the Supplier (e.g., an
            identification document with your photo, the number of your
            order/booking, your E-Voucher). If you are unable to meet the
            conditions and restrictions set by ShowEasy or the Supplier,
            you may not be able to redeem the content of the service
            recognized by the E-Voucher and no refund will be granted.
          </li>
          <li>
            c. You acknowledge and agree that if your E-Voucher or the
            number of your order/booking is lost or stolen, ShowEasy or
            the Supplier has no obligation to reissue the E-Voucher or
            provide you with the content of the service recognized by the
            E-Voucher. In addition, if you attempt to redeem an E-Voucher
            illegally, for example, if you do not meet the legal age for
            the use of an E-Voucher recognizing a certain content of
            service, ShowEasy or the Supplier may refuse to accept your
            redemption of the E-Voucher and no refund will be granted.
          </li>
      </div>
      </li>
      </ul>
      <ul>
        <h4>9. Limitation of Liability</h4>
        <li>
          9.1 You understand that the Platform Content may be provided by
          the Supplier and agree that we do not provide any representation
          or warranty regarding the accuracy of the Platform Content. You
          agree that you will not ask ShowEasy to be responsible for any
          Platform Content provided by the Supplier in the future.
        </li>
        <li>
          9.2 You agree that any contact or content transmitted with the
          ShowEasy Platform is not confidential, and that your
          communications may be read or intercepted by others. You
          acknowledge and confirm that there is no confidential, trust or
          other cooperative legal relationship created between you and
          ShowEasy.
        </li>
        <li>
          9.3 To the fullest extent permitted by law, you agree that
          ShowEasy and our directors, senior managers, officers, employees
          and agents of such personnel are not responsible for any of your
          direct, indirect, special, incidental, punitive, exemplary or
          derivative damages arising out of their non-compliance of these
          Terms of Use and their use of the ShowEasy Platform or other acts
          of negligence.
        </li>
        <li>
          9.4 To the fullest extent permitted by law, you agree that if you
          are not satisfied with the ShowEasy Services, your sole remedy is
          to stop using the ShowEasy Services. In any event, if we have any
          liability to you, the maximum amount of compensation is the total
          amount you paid to us within the 12 months prior to your initial
          claim.
        </li>

        <h4>10. Indemnification</h4>
        <li>
          10.1 You shall indemnify and hold harmless ShowEasy and our
          directors, senior managers, officers, employees and agents of such
          personnel from all losses or damages arising out of any third
          party’s claim for non-compliance of these Terms of Use or the
          infringement of any intellectual property or any right of others
          due to your access to the ShowEasy Platform or your use of the
          ShowEasy Services, or those who use your ShowEasy Member Account.
          If any of ShowEasy and our directors, senior managers, officers,
          employees and agents of such personnel suffers any losses or
          damages, you shall indemnify them, including but not limited to
          litigation fees, attorney fees, settlement fees and other losses.
        </li>
        <li>
          10.2 With respect to a claim filed by a third party mentioned
          above, ShowEasy may ask you to defend against any claim or take
          legal action, and to conduct any settlement negotiations. However,
          without our prior written consent, you may not take any legal
          action which may be averse to our rights.
        </li>
      </ul>
      <ul>
        <h4>11. Third-Party Websites and Transactions</h4>
        <li>
          11.1 The ShowEasy Platform may include links to third-party
          websites or applications. You are responsible for evaluating
          whether you want to access or use them. We are not responsible for
          and do not endorse any features, content, products, or other
          materials on other websites or applications. You shall evaluate on
          your own and assume all risks.
        </li>
        <li>
          11.2 If you connect to a third-party website or application
          through the ShowEasy Platform and have any transaction with such
          third party, you shall conduct an investigation that you deem
          necessary or appropriate. Such transaction is between you and such
          third party and has nothing to do with ShowEasy. You acknowledge
          and agree that we are not responsible for any costs, losses or
          damages arising out of your transaction with such third party.
        </li>
      </ul>
      <ul>
        <h4>12. Termination</h4>
        <li>
          12.1 These Terms of Use will apply to you and ShowEasy until
          ShowEasy terminates these Terms of Use. In the event that you
          violate any provision of these Terms of Use or ShowEasy deems
          necessary at our sole discretion, we may terminate or suspend your
          use of the ShowEasy Services, and your access to the ShowEasy
          Platform or your ShowEasy Member Account, without any prior notice
          to you.
        </li>
        <li>
          12.2 If these Terms of Use shall terminate in accordance with
          Section 12.1, you agree that, to the fullest extent permitted by
          law, we bear no obligation and liability to you, and may cancel
          any confirmed order prior to the termination without any refund
          payment to you.
        </li>
        <li>
          12.3 You acknowledge and agree that any provision of these Terms
          of Use shall, by its nature, survive after the termination,
          including but not limited to the Limitation of Liability.
        </li>
      </ul>

        <h4>13. Dispute Resolution</h4>
        <li>
          These Terms of Use and your relationship with ShowEasy are
          governed by the laws of the Republic of China. You agree that any
          controversy and dispute arising out of your use of the ShowEasy
          Services shall be submitted to the trial court of Taiwan Taipei
          District Court.
        </li>
      </ul>
      <ul>
        <h4>14. Miscellaneous</h4>
        <li>
          14.1 If any provision of these Terms of Use is held to be invalid,
          illegal or unenforceable, the validity, legality or enforceability
          of the remaining provisions shall remain in full force and effect.
        </li>
        <li>
          14.2 We may assign these Terms of Use or any right and obligation
          hereunder, and may delegate any obligation hereunder, to any third
          party.
        </li>
        <li>
          14.3 Without our prior written consent, you may not directly or
          indirectly assign these Terms of Use or any right and obligation
          hereunder to any third party.
        </li>
        <li>
          14.4 These Terms of Use are written in traditional Chinese. Any
          translation of these Terms of Use is solely for reference. If
          there is any discrepancy between any two language versions, the
          traditional Chinese version shall always prevail.
        </li>

          本使用條款是用來規範您如何使用「ShowEasy-簡單平台」（www.showeasy.com）與其他任何由我們提供的線上或線下服務，以及用來規範您透過ShowEasy所進行的消費行為（統稱「ShowEasy的服務」）。
        </li>
      </ul>
      <ul>
        <h4>2. 使用條款變更</h4>
        <li>
          2.1
          本使用條款將構成您與ShowEasy之間的有效契約。在使用ShowEasy的服務時，您應接受任何不定時更新的所有與服務相關的額外條款約束，包含但不限於ShowEasy的《隱私權保護政策》、各優惠、回饋或折扣活動之使用規則，所有此等條款均與本使用條款有同一效力。

          2.2
          基於相關法令的要求或如果我們認為有必要時，ShowEasy得隨時修改或更新本使用條款，無須事先通知您。當本使用條款有任何變更，我們會將最新版本的本使用條款公布在我們的網站(www.showeasy.com)及ShowEasy建置的其他平台（與我們的網站合稱「ShowEasy平台」），並且會標示最近一次更新的日期。如果您在本使用條款更新後繼續使用ShowEasy的服務，即代表您已同意更新後的本使用條款。請您使用ShowEasy的服務時，隨時參閱最新版本的本使用條款。

        <h4>3. ShowEasy的服務</h4>
        <li>
          3.1
          ShowEasy的服務是提供您可以透過ShowEasy平台，以輕鬆、簡易的方式選購ShowEasy或與我們合作的第三方供應商（「供應商」）所提供的展品運輸、攤位裝潢、票券及其他會展相關服務。在法律允許的最大範圍內，您也同意我們有權不定期更改、暫停或終止任何服務，亦有權對個別服務加上規範、限制或修訂條款，或限制您使用部分或全部的服務，而無須事先通知您。
        </li>
        <li>
          3.2
          您可能因為使用ShowEasy的服務而須對供應商支付費用，您也會被要求遵守供應商的服務約定條款。您瞭解也同意您對於這些費用須負全部的責任，且也同意支付這些費用，以及遵守他們的服務約定條款。
        </li>
        <li>
          3.3
          我們將盡可能努力維持ShowEasy的服務與ShowEasy平台的運作，但是我們不保證ShowEasy的服務與ShowEasy平台能隨時正常運作或不受外在因素影響。您同意我們有權拒絕您造訪ShowEasy平台或使用ShowEasy服務的權利，您也同意我們有權變更、暫停、中斷或終止ShowEasy的服務或ShowEasy平台。
        </li>
      </ul>
      <ul>
        <h4>4. 平台內容</h4>
        <li>
          4.1 本使用條款所提到的「平台內容」，是指由我們呈現或使用在ShowEasy
          平台上的一切素材，包括但不限於文字、照片、圖像、影像、插圖、影片、音效、數據、程式碼及其他素材。您瞭解並同意所有的平台內容均屬於ShowEasy
          或授權ShowEasy
          使用之人的專屬財產，受到相關智慧財產權法的保護；ShowEasy
          就任何的平台內容，有隨時變更、修改或移除的權利，而無須事前通知您。
        </li>
        <li>
          4.2
          在您遵守本使用條款的前提下，我們同意授權您有限制、非專屬、不可轉讓使用或存取ShowEasy
          平台，我們可隨時撤回此一授權，而無須事前通知您。您同意遵守智慧財產權相關法律及其他適用的法律規範，且承諾在任何情況下，均不會以侵害ShowEasy
          或授權ShowEasy
          使用之人的方式，對任何的平台內容進行使用、重製、翻譯、傳輸、傳播、出售、轉讓、以之為基礎創造衍生著作，或以其他任何方式加以使用，您也不得以任何形式大量複製、儲存或下載任何的平台內容。此外，您同意您會對使用或存取任何的平台內容自行承擔風險，在法律允許的最大範圍內，我們不就平台內容對您負責，包括但不限於平台內容的錯誤或疏漏。如果任何人因為您的使用或存取平台內容的行為，而產生任何損害或損失，必須由您個人單獨承擔相關賠償責任。
        </li>
        <li>
          4.3
          您瞭解並同意在您使用或存取平台內容的過程中，我們可能無法知悉與您互動的其他第三方使用者為何人，或預測、控制他們的行為，因此我們無法保證其他第三方使用者在ShowEasy
          平台提供的內容、資料或資訊是否真實且正確。
        </li>
      </ul>
      <ul>
        <h4>5. 會員註冊及社交平台帳戶登入</h4>
        <li>
          5.1 為了讓您使用ShowEasy 的服務，您必須在ShowEasy
          平台註冊一個會員帳戶或經由社交平台帳戶（例如：Facebook或Google）登入使用ShowEasy
          的服務，而成為我們的會員（「ShowEasy 會員帳戶」）。在註冊ShowEasy
          會員帳戶時，我們有權要求您提供電子郵件及設定密碼，或於註冊完成後，有權要求您填寫會員資料。您必須確認您提交至ShowEasy
          的網站或其他平台的任何註冊資訊皆為真實、準確而完整，且您將不時更新以維持最新的相關資訊。如果您提供錯誤不實的資訊，我們有權隨時移除您的ShowEasy
          會員帳戶，而無須事前通知您。您不得使用他人的ShowEasy
          會員帳戶或社交平台帳戶使用ShowEasy 的服務。
        </li>
        <li>
          5.2 您的ShowEasy
          會員帳戶是您個人專屬，請勿將任何帳戶資料分享給他人或讓他人使用。任何經由您的ShowEasy會員帳戶所生的活動都是您個人的責任，如果您發現您的ShowEasy
          會員帳戶有任何安全性的疑慮，請立即通知我們。您有義務確保您密碼的保密性。如果您發現您的ShowEasy
          會員帳戶被盜用或有人試圖使用您的ShowEasy
          會員帳戶，請立即通知我們。您必須就任何因帳戶被非法使用致我們或其他人所受的損害獨立負責。
        </li>
        <li>
          您同意我們保有拒絕您註冊為ShowEasy
          會員的權利。您亦同意，我們得依我們的判斷，隨時移除您的ShowEasy會員帳戶，而無須事前通知您。
        </li>
      </ul>
      <ul>
        <h4>6. ShowEasy 展覽及商品評論之使用條款</h4>
        <li>
          6.1 本使用條款針對ShowEasy
          所提供的[展覽及商品評分與評價]（下稱「CRR
          服務」）相關的使用者行為進行規範。 如果ShowEasy
          的隱私權政策與本使用條款發生衝突，則本使用條款在 CRR
          服務方面起制約作用。
        </li>

          <li>
            a. 您若向ShowEasy
            提交任何內容（下稱「上傳內容」），即表示您在此聲明並保證：<br />
            • 您是上傳內容唯一製作者和其相關智慧財產權的擁有者；<br />
            • 您已經自願放棄您在此等內容中可能擁有的所有「著作人格權」；<br />
            • 您所發布的所有內容均準確無誤；<br />
            • 您已年滿居住地區的法定成人年齡，或年屆 13
            歲至法定成人年齡之間，且是在家長或法定監護人同意上述服務條款並加以監督的情況下使用
            CRR 服務； <br />
            •
            使用您所提供的內容並不違反本使用條款，且不會為任何個人或實體帶來傷害。<br />
          </li>
          <li>
            b. 您進一步同意和保證，您不會提交符合下列情事的上傳內容：<br />
            • 據您所知，虛假、不準確或有誤導性；<br />
            •
            侵犯任何第三者版權、專利、商標、商業秘密或者其他專有權利、公布或保密權利；<br />
            •
            違反任何法律、法令、訓令或法規（其中包括但不限於對出口管制、消費者保護、不公平競爭、打擊歧視或虛假廣告等進行管轄之）；<br />
            •
            實屬或可以合理認為屬於對任何個人、合夥關係或公司進行誹謗、中傷、仇恨，種族或宗教歧視、攻擊性言論、非法威脅或非法騷擾；
            <br />
            • 您因獲得任何第三者的報酬或其他任何補償而撰寫的；<br />
            •
            包含任何參照其他網站、地址、電子郵件地址、聯絡資訊或電話號碼的資訊；<br />
            • 包含任何電腦病毒或其他具有潛在損害的電腦程式或檔案。
          </li>
        </div>
        <li>
          6.2
          如果因違反您上列聲明及擔保，或因您違反任何法律或第三方權利，而引發的任何種類及性質之已知及未知索賠、訴求和損害（實際和間接），包括合理的律師費，您同意就此對ShowEasy
          作出賠償並免除該等人士之責任。
        </li>
        <li>
          6.3 對於您所提交的上傳內容，您授與ShowEasy
          一項永久、不可撤回、免特許權使用費和可轉讓的權利及許可，藉此，ShowEasy
          可以不向您支付報酬而在全世界使用、複製、修改、完全刪除、改編、出版、翻譯此類內容，從其創建衍生作品，以及出售和/或散發此等內容和/或將此等內容融入
          任何形式、媒體或技術。
        </li>
        <li>
          6.4 您所提交的所有內容可由ShowEasy
          自行決定使用。對於任何內容違反本使用條款的內容準則或其他任何規定的上傳內容，ShowEasy
          保留可以對此等內容進行變更、縮減或刪除之權利。除此之外，您或許將無法透過ShowEasy
          來編輯或刪除您已經提交的上傳內容。您所提交的上傳內容通常在您上傳後的二到四個工作日內發布。
          但是，ShowEasy
          保留出於任何原因刪除或拒絕發布您提交的上傳內容之權利。
        </li>
        <li>
          6.5 同時，您應獨自對於您所提交的上傳內容負擔完全之法律責任。
          對於您所提交的任何上傳內容，ShowEasy
          及其代理人、子公司、聯營公司、合夥企業或第三方服務提供者及其各自的董事、主管和僱員均不負任何保密義務。
        </li>
        <li>
          6.6 您隨著上傳內容而提交您的電子郵件地址，即同意ShowEasy
          及其第三方服務提供者可以基於您提交的上傳內容或出於其他管理目的，而以您提供的電子郵件地址與您聯絡。
        </li>
      </ul>
      <ul>
        <h4>7. 您的承諾</h4>
        <li>
          7.1 您應完全並僅能依照本使用條款使用ShowEasy 的服務或ShowEasy
          平台；您應就您使用ShowEasy 的服務或ShowEasy
          平台的所有行為，單獨負擔法律責任。
        </li>
        <li>
          7.2 應承諾下列事項
          <div class="tw-ml-[13px]">
        <li>
          a.
          您所選購的特定服務僅供個人或所屬公司及組織使用，不得作為其他商業企圖使用。
        </li>
        <li>
          b.
          未經我們的事前書面授權，您不得抄襲、重製、散布、公開發表、展示、傳送或公開播送ShowEasy
          的服務的任何部份，包括但不限於以下任何未經我們事前明確同意之行為：(i)
          改變、毀損或規避任何ShowEasy 的服務所使用的授權軟體；及 (ii)
          使用屬於我們或從ShowEasy
          的服務取得的任何商標、服務標章、設計標章、照片或其他內容。
          的服務的任何部份，包括但不限於以下任何未經我們事前明確同意之行為：(i)
          改變、毀損或規避任何ShowEasy 的服務所使用的授權軟體；及 (ii)
          使用屬於我們或從ShowEasy
          的服務取得的任何商標、服務標章、設計標章、照片或其他內容。
        </li>
        <li>
          c. 您不得規避、損害或妨礙任何用來控制ShowEasy
          的服務使用秩序的安全措施，從ShowEasy
          的服務獲取或挖掘服務內容，或以不符個人或所屬公司及組織使用方式的方法使用ShowEasy
          的服務（包括異常或過量地預訂或訂購特定服務後取消訂單）。
        </li>
        <li>
          d.
          除非經本使用條款或其他規則許可，您不得從事、導致、容許或授權對ShowEasy
          的服務任何面向（包括透過ShowEasy
          的服務可取得的任何服務內容）的轉譯、返向工程、拆解或入侵，或嘗試前述任何行為，或是嘗試使用ShowEasy
          的服務設計以外的任何部分。
        </li>
        <li>
          e. 除非我們開放ShowEasy
          的服務或服務內容的嵌入方法，否則您不得透過其他應用程式或網站，使用、展示、模仿、設計或運用框架處理技術去揭露ShowEasy
          的服務（包括透過ShowEasy 的服務可以取得的任何部分）。
        </li>
        <li>
          f. 您不得進入、損害或使用ShowEasy 的服務未公開的區域、ShowEasy
          （及ShowEasy
          的虛擬主機公司）的電腦系統及設備，或我們網路服務提供業者的技術接收系統。
        </li>
        <li>
          g.
          您不得騷擾、侮辱、傷害其他個人或團體（包括我們的員工或其他使用者）或是支持對他們的騷擾、侮辱或傷害。
        </li>
        <li>
          h.
          您不得提供錯誤不實的個人資訊，或是創建錯誤的個人身分，或以任何方式假冒其他個人或組織。亦不得使用無效或未經授權使用的金融卡、信用卡或其他電子支付工具進行預訂或訂購。
        </li>
        <li>i. 您不得向其他使用者蒐集或企圖蒐集其個人資料。</li>
        <li>
          j. 您不得限制或禁止任何人使用ShowEasy
          的服務、未經第三人同意揭露ShowEasy 的服務上或從ShowEasy
          的服務取得的第三人個人資料，或蒐集有關使用者的資料。
        </li>
        <li>
          k. 除非本使用條款明示許可，否則您不得使用ShowEasy
          的服務聯絡或從事任何商業廣告或資料蒐集。
        </li>
        <li>
          l. 您不會從事任何詐欺、違反ShowEasy 平台資訊安全、損害ShowEasy
          利益、濫用ShowEasy
          之優惠或折扣、破解其他使用者的密碼、移轉或非法儲存資料或進行其他的非法活動。
        </li>
    </div>
    </li>
    <li>
      7.3 您有違反第７.2條事項，我們得依我們的判斷，隨時移除您的ShowEasy
      會員帳戶、取消違反第７.2條事項之訂單，且無須事前通知您，並得向您請求賠償。
    </li>
    </ul>
    <ul>
      <h4>8. 洽詢單詢問、訂單確認及退費政策</h4>
      <li>
        8.1 透過ShowEasy 平台，您可以依特定的貨幣選購或洽詢ShowEasy
        或供應商所提供的展品運輸、攤位裝潢、票券及其他展覽相關服務，除部分訂單會於您下單後即時成立外，其他訂單及洽詢單須經ShowEasy
        或供應商確認後始成立。您同意透過簡訊、電子郵件或手機App接收預訂成功的通知，而且您瞭解並同意ShowEasy
        平台所述回覆訂購結果的時程僅供參考，您也同意我們向您確認預訂成功的時間，可能視實際情況而調整。
      </li>
      <li>
        8.2 ShowEasy 保留隨時變更或調整ShowEasy
        或供應商所提供的展品運輸、攤位裝潢、票券及其他展覽相關服務的價格及費用的權利，變更的內容可能透過簡訊、電子郵件、網站、手機App公布，若您於該等變更的通知發出後使用ShowEasy
        的服務，即代表您同意並接受變更後的價格及費用。
      </li>
      <li>
        8.3 您同意ShowEasy
        得依我們的判斷，拒絕或取消任何可能違反本使用條款的預訂或訂購。
      </li>
      <li>
        8.4
        您同意您必須依照我們接受的付款方式，支付您的訂單；您瞭解並同意在您依照我們指示的付款流程完成付款前，我們並無義務處理或執行您的訂單。除本使用條款另有約定，您已支付的訂單金額均不可退款。
      </li>
      <li>
        8.5 在您選購的服務是由供應商提供而非ShowEasy
        提供的情況下，該服務的供應商會獨自接受或拒絕您的預訂或訂購，並負責提供所有相關的服務。如您對於供應商的服務內容有任何疑問，您可先向供應商詢問，以獲得最直接的資訊；但您也可以與ShowEasy
        聯繫，我們將嘗試與供應商聯繫，以尋求解決方式。
      </li>
      <li>
        8.6
        您瞭解並同意任何供應商向您提供的個別服務，可能視實際情形產生額外的稅負或費用，您也可能有義務直接向供應商或稅務主管機關支付相關款項。儘管我們已向供應商要求提供其所提供的服務最新且正確的使用條件及限制、價格等資訊，但ShowEasy
        無法保證ShowEasy
        平台顯示的所有內容於任何時候皆正確無誤。如您的訂單被供應商取消，ShowEasy
        會盡快以合理的方法通知您。
      </li>
      <li>
        8.7 如您依預訂時ShowEasy
        平台所述的取消期限內聯絡我們或供應商取消您的預訂，則在您成功取消且收到我們的通知後，或如您選購的服務依照我們或供應商訂定的使用條件及限制被取消，您所支付的金額將依您付款的方式，以相同方式退款給您。您充分瞭解並同意您可能收到的退款金額會因為匯率或信用卡公司或金流服務公司的手續費或服務費，而與您當初付款的金額，有所不同。
      </li>
      <li>
        8.8 電子憑證使用方法

      <li>
        a. 如您透過ShowEasy
        平台選購展品運輸、攤位裝潢、票券及其他展覽相關服務，在預訂成功後，除提供實體票券或其他情況外，您將收到一封確認您訂單的電子郵件、簡訊、或手機App通知，其中將包含您的訂單編號及表彰您所選購服務內容的電子憑證（「電子憑證」），您可自行列印您的電子憑證，或者出示手機App電子憑證。
      </li>
      <li>
        b. 您瞭解並同意您必須遵守ShowEasy
        或供應商針對電子憑證額外設定的使用條件及限制，包括但不限於：您必須在電子憑證所述的使用期限內，親自且準時出現在ShowEasy
        或供應商指定的集合地點，提出ShowEasy
        或供應商要求的文件或資料（如：含有您照片的身分證明文件、您的訂單編號、您的電子憑證）。如果您無法符合ShowEasy
        或供應商設定的使用條件及限制，您將可能無法兌換電子憑證所表彰的服務內容或請求退費。
      </li>
      <li>
        c. 您瞭解並同意如果您的電子憑證或訂單號碼遺失或遭竊，ShowEasy
        或供應商沒有補發電子憑證或提供您兌換電子憑證所表彰服務內容的義務。此外，如果您試圖不法兌換憑證，例如，未達使用電子憑證所表彰服務內容的法定年齡，ShowEasy
        或供應商得拒絕接受您兌換電子憑證，且無須退款。
      </li>

  </li>
  </ul>
  <ul>
    <h4>9. 責任限制</h4>
    <li>
      9.1
      您瞭解平台內容可能由供應商提供，並同意我們就平台內容不提供任何針對正確性的聲明或保證，您同意將來也不會要求我們就供應商提供的任何平台內容負責。
    </li>
    <li>
      9.2 您同意您任何與ShowEasy
      平台往來或傳輸的內容不具有機密性，且您的通訊內容可能被他人閱讀或截取。您瞭解並確認，您與我們之間未建立任何機密、信託或其他合作性質的法律關係。
    </li>
    <li>
      9.3 在法律允許的最大範圍內，您同意ShowEasy
      及我們的董事、高階經理人、主管、員工及該等人員的代理人，就任何因其違反本使用條款、使用ShowEasy
      平台或其他疏失行為，對您所造成的任何直接、間接、特殊、附帶、懲罰性、懲戒性或衍生性的損害，均不負責。
    </li>
    <li>
      9.4
      在法律允許的最大範圍內，您同意，如果您對我們的服務有任何不滿意，您對我們唯一的救濟措施即為停止使用我們的服務。如果在任何情況下，我們對您有任何賠償責任，賠償金額上限為在您最初提出主張的前十二個月內，您所支付給我們的總費用。
    </li>
  </ul>
  <ul>
    <h4>10. 補償條款</h4>
    <li>
      10.1 您必須就您個人或使用您ShowEasy 會員帳戶之人存取ShowEasy
      平台或使用ShowEasy 的服務 (但就第三人使用ShowEasy
      會員帳戶存取ShowEasy 平台或使用ShowEasy
      的服務，您若可證明其係屬非可歸責於您者，不在此限)，而違反本使用條款或侵害他人智慧財產權或其他權利，所造成任何第三人提出索賠請求的情形，確保ShowEasy
      及我們的董事、高階經理人、主管、員工及該等人員的代理人不受到任何損失，如有損害，您應負擔全部責任和補償，包括但不限於所有訴訟費、律師費、和解費及其他損失。
    </li>
    <li>
      10.2 針對上述第三人提出索賠請求的情形，ShowEasy
      得要求您應於合理範圍內提供必要之協助對任何主張或法律行動進行辯護，以及進行任何和解協商。但是未取得我們的事前書面同意，您不得做出任何可能不利於我們權利的法律行動。
    </li>
  </ul>
  <ul>
    <h4>11. 第三方網站與交易</h4>
    <li>
      11.1 您可能透過ShowEasy
      平台連結到第三方網站或服務。您應自行判斷是否要使用此類第三方網站或服務，我們就這些第三方網站或服務的特性、內容、產品或其他資訊，均不負任何責任。您應自行評估並承擔所有風險。
    </li>
    <li>
      11.2 如果您透過ShowEasy
      平台連結到第三方網站或服務，而與該第三方有任何的交易，您應進行您認為需要或適當的調查，該等交易均為您與該第三方之間的關係，與我們無涉，您確認並同意我們不須為您就此等交易產生的任何費用、損失或損害負責。
    </li>
  </ul>
  <ul>
    <h4>12. 終止</h4>
    <li>
      12.1
      本使用條款將繼續適用於您與ShowEasy之間，直至我們終止本使用條款為止。如果您違反本使用條款的任何規定，或依我們的判斷而認為有必要時，我們有權立即終止或暫停您使用ShowEasy的服務、存取ShowEasy平台或您的會員帳戶，而無須對您為任何事前通知。
    </li>
    <li>
      12.2
      如果本使用條款依第12.1條終止，您同意在法律允許的最大範圍內，我們將對您不負任何義務或責任，並且得取消您於終止前已成立之訂單，且無須對您退款。
    </li>
    <li>
      12.3
      您瞭解並同意，即使於本使用條款終止後，本使用條款的任何規定根據其性質，將可能持續有效，包括但不限於責任限制條款。
    </li>
  </ul>
  <ul>
    <h4>13. 爭議解決</h4>
    <li>
      本使用條款及您與我們之間的關係受中華民國法律管轄。您同意以臺灣臺北地方法院作為您使用ShowEasy
      的服務所產生的爭議或糾紛的第一審管轄法院。
    </li>
  </ul>
  <ul>
    <h4>14. 其他事項</h4>
    <li>
      14.1
      如果本使用條款的任一規定被認定為無效、非法或不可執行，其餘規定的有效性、合法性或可執行性仍完全有效。
    </li>
    <li>
      14.2
      我們得轉讓本使用條款或任何基於本使用條款產生的權利與義務，且得將本使用條款下的任何義務委由任何第三方處理。
    </li>
    <li>
      14.3
      未經我們事前書面同意，您不得直接或間接轉讓本使用條款或任何基於本使用條款產生的權利與義務。
    </li>
    <li>
      14.4
      本使用條款以中文撰寫，任何其他語言的翻譯版本僅供參考，如有歧異，以中文版本為準。
    </li>
